A Z N H Revocable Trust v. Sunland Springs Village Homeowners Association
Maricopa · AZ · Arizona Court of Appeals, Division One
MIXED · elections-meetings
What happened
The A Z N H Revocable Trust sued Sunland Springs Village Homeowners Association in Maricopa County Superior Court for declarations that notices, agendas, and closed-meeting practices violated A.R.S. § 33-1804. Cross-motions for summary judgment produced a split result; both sides appealed. The Arizona Court of Appeals (Division One) affirmed that voting and formal actions must occur in open meetings, reversed the superior court's approval of bare closed-meeting agendas that merely cited the statute, held date/time/place notices adequate, and remanded for further factfinding on how closed-session reasons were identified.
What the court (or agency) held
Under A.R.S. § 33-1804, planned-community boards may discuss enumerated sensitive topics in closed session, but voting and other formal actions must occur in open meetings so members can speak after discussion and before action. Meeting agendas—even for closed sessions—must provide information reasonably necessary to apprise members of the topics; merely citing the closed-meeting statute is insufficient. Notices of date/time/place were adequate here. The court affirmed the open-voting ruling for the homeowner, reversed the superior court's approval of bare closed-meeting agendas, and remanded for further factfinding on how closed-session reasons were identified. MIXED/remand.
Why this matters for members
This result is MIXED — a partial win, not a clean sweep on every claim. Arizona open-meeting law for planned communities allows limited closed discussion but not closed voting/action, and agendas must meaningfully describe topics—not just cite the statute.
What the member did
Brought a declaratory-judgment action challenging closed-session voting/action practices and inadequate agendas under § 33-1804.
What did not work
The homeowner did not upset the finding that basic meeting notices complied with the statute.
Questions for the board
- Do we vote only in open session after members have a chance to speak?
- Do closed-session agendas describe topics beyond citing § 33-1804?
- How do we document the statutory reason for each closed session?
Questions for a lawyer
- Did formal board action occur in closed session contrary to § 33-1804?
- Are our agendas specific enough to apprise members of closed-session topics?
- What declaratory or other remedies fit open-meeting violations?
