What happened
In 1998 developer Rachel LaPore recorded an unsigned declaration of protective covenants and a plat for Filing One of Abril Meadows in Gunnison (two lots). After disputes over improvements, the HOA (with LaPore as sole director) levied large daily fines, recorded a six-figure lien, and sued to foreclose. The trial court held the Castros violated the declaration, ordered a reduced $100 fine, dismissed six other HOA claims, awarded the Castros costs based on a pretrial offer, and denied both sides' attorney-fee requests. On appeal the Colorado Court of Appeals held the unsigned declaration invalid under CCIOA, reversed the violation judgment (including the fine), and remanded for reconsideration of the Castros' attorney-fee request.
What the court (or agency) held
The Colorado Court of Appeals held that an unsigned declaration does not create an enforceable common-interest community under CCIOA § 38-33.3-201, which requires a declaration executed in the same manner as a deed. A signed plat, deed reference, and homeowner awareness could not cure the missing declarant signature. The court reversed the judgment that the Castros violated the declaration (including the reduced fine) and remanded for reconsideration of the Castros' attorney-fee request.
Why this matters for members
CCIOA formation requirements are formal: an unsigned declaration is not enforceable as a CIC instrument. HOA foreclosure/fine leverage collapses if the foundational declaration was never properly executed.
What the member did
Defended the foreclosure/fine suit and cross-appealed, arguing the unsigned declaration was invalid under CCIOA.
Questions for the board
- Is our recorded declaration signed and acknowledged in the manner required for a deed under CCIOA?
- Before recording liens or large fines, has counsel confirmed the declaration's formal validity?
- What happens to pending enforcement if the declaration is defective?
Questions for a lawyer
- Was the recorded declaration executed as CCIOA requires?
- If the declaration is unsigned, what remedies and fee exposure remain for owners?
- How should we treat liens and fines premised on an invalid instrument?
