Abrams v. Seaview Assn. of Fire Is. N.Y. Inc.
Suffolk · NY · New York Supreme Court (Suffolk County) (trial-level published slip opinion)
MIXED · records
What happened
Adam Abrams, a Seaview Association of Fire Island member, demanded books-and-records access under N-PCL § 621, including financial records under § 621(e-1) and membership/proceedings materials under § 621(b). The association produced some materials and resisted further financial review. After cross-motions, the court ordered Seaview to permit Abrams to review enumerated financial records (read and take notes) within 30 days, while holding the association need not allow copies of those e-1 records; § 621(b) inspection of members' proceedings was treated as satisfied by what was already produced and does not extend to board/executive-committee minutes. Several non-records claims were dismissed.
What the court (or agency) held
Under N-PCL § 621(e-1), a member is entitled to review enumerated financial records on request (read and take notes); the court ordered Seaview to permit that inspection within 30 days even though it need not allow copies of those e-1 records. By contrast, § 621(b) inspection of members' proceedings/membership contacts was satisfied by what Seaview already produced and does not extend to board/executive-committee minutes. Several other claims were dismissed; the financial-records win is the teachable records holding. MIXED outcome.
Why this matters for members
This result is MIXED — a partial win, not a clean sweep on every claim. New York Not-for-Profit Corporation Law § 621 draws a line between financial-record review (e-1) and other membership/proceedings inspection (b). Members who cite the right statute category and seek inspection (notes) rather than unlimited copying can compel access even when broader demands fail.
What the member did
Made a written demand citing N-PCL § 621(b) and § 621(e-1) categories and moved to compel inspection.
What did not work
Broader demands for board/executive minutes under § 621(b) and various non-records claims were denied/dismissed.
Questions for the board
- Which N-PCL § 621 categories does our production policy cover, and within what timeline?
- May members review and take notes on the § 621(e-1) financial records list?
- What written response do we give when a member requests records beyond board minutes?
Questions for a lawyer
- How do § 621(b) and § 621(e-1) apply to the records I requested?
- What is a proper written demand and remedy if the association refuses financial-record review?
- Which of my requested categories are outside statutory inspection rights?
